These Terms and Conditions govern your access to and use of Ohana Wall, a shared family dashboard and household organization service. By accessing or using Ohana Wall, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Acceptance of Terms

By creating an account, accessing our website, or using any features of Ohana Wall, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and Ohana Wall.

2. Who May Use the Service

You must be at least 18 years old and legally capable of entering into binding contracts to use Ohana Wall. The Service is intended primarily for personal household and family use. If you are using Ohana Wall on behalf of an organization or other entity, you represent that you have the authority to bind that entity to these Terms.

3. Description of the Service

Ohana Wall is a shared family dashboard and household organization service. The Service provides features including, but not limited to:

  • Shared calendars for family schedules and events
  • Shopping lists and grocery management
  • Meal planning and routines
  • Timers for cooking, homework, and household tasks
  • Weather information and forecasts
  • Household reminders and organization tools

The Service is designed to run on screens you already own, including tablets, monitors, laptops, and desktop computers, and can be managed from your phone or any web-enabled device.

4. Accounts

To use certain features of Ohana Wall, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Providing accurate and current information during registration and keeping it updated

You may not share your account with others or allow others to access your account. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscriptions and Billing

Certain features of Ohana Wall require a paid subscription. Billing for subscriptions is handled by our payment processor, Paddle. By subscribing to a paid plan, you agree to pay the applicable fees as presented during checkout.

Key points about subscriptions and billing:

  • Pricing, billing cycles, and available plans are displayed at checkout and in your account settings
  • Subscriptions automatically renew at the end of each billing period unless canceled
  • You can cancel your subscription at any time through your account settings
  • If you cancel, you will retain access to paid features through the end of your current billing period
  • We reserve the right to change pricing with reasonable notice to active subscribers
  • Refunds may be available in certain circumstances as required by law or at our discretion

All billing matters, including payment processing, refunds, and billing disputes, are handled by Paddle in accordance with their terms and policies.

6. Free Trials

We may offer free trials of paid subscription plans from time to time. Free trial eligibility, duration, and terms will be specified at sign-up. If you sign up for a free trial that requires payment information, your subscription will automatically convert to a paid subscription at the end of the trial period unless you cancel before the trial ends. You will not be charged during the trial period, but you may be charged when the trial period ends if you have not canceled.

7. Acceptable Use

You agree to use Ohana Wall only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Service in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to the Service, other user accounts, or our systems
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Use the Service to transmit viruses, malware, or other harmful code
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service
  • Use automated systems (bots, scrapers, etc.) to access the Service without permission
  • Misrepresent your identity or affiliation with any person or entity
  • Use the Service for any commercial purpose without our prior written consent

We reserve the right to investigate and take appropriate action against anyone who violates this section, including suspending or terminating accounts and reporting to law enforcement if necessary.

8. User Content

You retain ownership of all content you submit to Ohana Wall, including calendar events, shopping lists, meal plans, household information, and other data (collectively, "User Content"). By submitting User Content to the Service, you grant Ohana Wall a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, and process your User Content solely as necessary to provide and improve the Service.

You are responsible for your User Content and represent that:

  • You own or have the necessary rights to the User Content you submit
  • Your User Content does not violate any third-party rights, including intellectual property or privacy rights
  • Your User Content does not violate these Terms or any applicable laws

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, but we are not obligated to monitor or review User Content.

9. Availability and Changes

We are constantly working to improve Ohana Wall. As a result:

  • The Service may change over time, including the addition, modification, or removal of features
  • We may update, suspend, or discontinue any part of the Service at any time
  • We do not guarantee that the Service will be available at all times or free from errors
  • Scheduled maintenance or unexpected downtime may occur

We will make reasonable efforts to notify users of significant changes to the Service, but we are not obligated to maintain any particular features or functionality indefinitely.

10. Intellectual Property

The Service, including its software, design, text, graphics, logos, icons, images, audio clips, and other content (excluding User Content), is owned by Ohana Wall or our licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not:

  • Copy, modify, distribute, or create derivative works based on the Service
  • Use our trademarks, logos, or branding without our prior written permission
  • Remove or alter any copyright, trademark, or other proprietary notices

Your use of the Service does not grant you ownership of any intellectual property rights in the Service or its content.

11. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using Ohana Wall, you agree to our collection and use of information as described in the Privacy Policy.

12. Third-Party Services

Ohana Wall may integrate with or rely on third-party services, such as payment processors, weather data providers, calendar sync services, and other tools. These third-party services are governed by their own terms of service and privacy policies, which we encourage you to review.

We are not responsible for the availability, accuracy, or content of third-party services. Your use of third-party services is at your own risk.

13. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW.

We disclaim all warranties, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy, reliability, or completeness of any content or information

You use the Service at your own risk. We do not warrant that the Service will meet your requirements or that it will be suitable for any particular purpose.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, Ohana Wall AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

15. Termination

You may stop using the Service at any time by closing your account through your account settings.

We may suspend or terminate your access to the Service at any time, with or without notice, if:

  • You violate these Terms or any applicable laws
  • Your use of the Service poses a risk to us, other users, or third parties
  • We are required to do so by law
  • We decide to discontinue the Service

Upon termination, your right to use the Service will immediately cease. We may delete your account and User Content, though we are not obligated to do so immediately. Sections of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitations of liability.

16. Governing Law

These Terms are governed by the laws of Iceland, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Reykjavik, Iceland for the resolution of any disputes arising out of or related to these Terms or the Service.

17. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Service, legal requirements, or business practices. When we make changes, we will update the "Last updated" date at the top of this page.

If we make material changes, we will notify you by email (if you have provided an email address) or by displaying a notice within the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

18. General

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ohana Wall regarding the Service.

Waiver: Our failure to enforce any provision of these Terms will not be deemed a waiver of that provision or any other provision.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
